Hudson Group Announces Voting Results of 2018 Annual General Meeting
East Rutherford, NJ – April 30, 2018 – Hudson Ltd. (NYSE: HUD) (“Hudson Group” or “Company”), a leader in North American travel retail, announced the results of the shareholders' vote at the Company's Annual General Meeting (“2018 AGM”) held today. The meeting was validly convened and constituted and shareholders representing 32,295,844 Class A common shares and 53,093,315 Class B common shares, together 92.30% of the total share capital and 98.75% of the total voting power of Hudson Ltd., were represented at the meeting.
1. Proposal Nos. 1, 2 and 3, being the proposals to elect (i) Mr. Juan Carlos Torres Carretero; (ii) Mr. Julían Díaz González; and (vii) Mr. Joseph DiDomizio, as Class III Directors of the Company with each to serve a three-year term until the Company’s 2021 annual general meeting, have been approved by 97.55%, 97.49% and 97.93%, respectively, of the votes cast at the meeting.
2. Proposal No. 4, being the proposal to appoint Ernst & Young AG as the Company’s independent registered public accounting firm for the fiscal year ending 31 December 2018, and Proposal No. 5, being the proposal to authorize the Audit Committee of the Board of Directors of the Company to fix the remuneration of Ernst & Young AG, have been approved by 99.99% and 99.99%, respectively, of the votes cast at the meeting.
